Terms of Service
These Terms of Service constitute a legally binding agreement between Vermulst Group and you, governing your access to and use of the Digital Employees platform and related services.

Service Description
Vermulst Group provides an AI-powered automation platform ("Digital Employees") that enables businesses to automate processes and workflows, leverage AI reasoning for decision support, integrate data across systems, generate insights and analytics, and create custom automations. The platform includes web-based interface and API access, AI capabilities (Anthropic Claude, Google Vertex AI, local models), n8n-based workflow automation, knowledge management systems, and documentation and support services. Target uptime: 99.5% measured monthly (excluding planned maintenance). Support hours: Business hours CET/CEST for standard support; priority support available for enterprise clients.
Account Terms & Acceptable Use
To use the Services, you must provide accurate information, be authorized to bind your organization, and be at least 18 years old. You are responsible for maintaining credential confidentiality, all account activities, and promptly notifying us of unauthorized access at security@vermulstgroup.com. Multi-factor authentication is required for production accounts.
Prohibited activities include: violating applicable laws, infringing intellectual property rights, transmitting malware, attempting to breach security, reverse engineering the platform, reselling without authorization, using AI outputs for fully automated decisions affecting individuals' legal rights without human oversight, and processing data of individuals under 16 without proper legal basis. Violations may result in warning, temporary suspension, immediate termination, or legal action depending on severity.
Payment Terms
We offer flexible pricing: Value-Based Pricing (percentage of measured savings, typically 15-30%), Fixed Monthly Subscriptions, and Custom Arrangements for enterprise clients. Specific pricing is outlined in your Order Form or Statement of Work.Billing cycle: Monthly or as specified. Payment terms: Net 30 days from invoice. Currency: EUR unless otherwise specified. Late payments may incur interest at the applicable statutory rate, service suspension after 15 days past due (with 7-day notice), and termination after 30 days past due. All fees are exclusive of applicable taxes. We may adjust pricing with 60 days' written notice for subscription changes. No refunds for early termination; credits for SLA failures if applicable; no charges during trial period.
Intellectual Property
We retain all rights to the Digital Employees platform, underlying technology, algorithms, workflows, methodologies, and documentation. You retain all rights to your data: input data, business information, configurations, custom workflows, and pre-existing intellectual property.
AI Output Ownership: AI outputs generated for you in response to your inputs belong to you. We do not guarantee originality or non-infringement. You are responsible for reviewing AI outputs before use.
License to You: Non-exclusive, non-transferable license to use the Services during the contract term. License to Us: Limited license to access and process your data solely to provide the Services. Neither party may use the other's trademarks without prior written consent.
Data Protection & Liability
We process personal data as a Data Processor on your behalf. You are the Data Controller. Processing is governed by our Privacy Policy, Data Processing Agreement (available upon request), GDPR, and Brazil's LGPD. Primary data storage: EU regions. Breach notification within 72 hours. Upon termination: active data deleted within 30 days, backups purged within 90 days.The Services are provided "AS IS" without warranties. AI outputs are advisory only — not guaranteed to be accurate, complete, or suitable. They require human review and do not constitute professional advice. To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, or consequential damages. Total liability is limited to amounts paid in the 12 months preceding the claim. Exceptions apply for gross negligence, willful misconduct, data breaches from security failures, and personal injury.
Term, Termination & Disputes
Trial period converts to paid unless canceled. Subscriptions: month-to-month or annual as specified. Automatic renewal unless notice provided. Client termination: 30 days' notice (monthly), 60 days' notice at end of term (annual), or immediately for material breach uncured after 30 days. Our termination: after 30 days non-payment, immediately for material breach, or with 90 days' notice for convenience (prorated refund). Upon termination: access ceases, outstanding fees due immediately, 30-day data export window (JSON/CSV), then data deletion.EU Data Act compliance: Maximum 2-month notice for switching, data portability in interoperable formats, no artificial lock-in barriers.Governing law: Brazilian law, excluding conflict-of-law principles. For EU clients, mandatory consumer protections under local law are preserved. Dispute resolution: 30 days negotiation, then mediation (shared costs), then litigation in the competent courts of Brazil. These Terms are in English; English controls in case of translation conflict.
